AURUM COMMERCE — END-USER LICENCE AGREEMENT
This agreement is between Leigh Parker, a sole proprietor carrying on business as Aurum Commerce, of 265 Spruce Street South, Timmins, Ontario P4N 2N7, Canada ("we", "us"), and the business or person installing Aurum Commerce ("you"). By installing or using the software you agree to these terms. If you do not agree, do not install it.
1. LICENCE
We grant you a non-exclusive, non-transferable licence to install and use Aurum Commerce for your own business on one (1) computer per licence key. The software is licensed, not sold. We keep all rights not granted here.
2. TERM AND RENEWAL
The licence is sold as an annual (yearly) subscription. It runs for one year from purchase and continues only if renewed. If it is not renewed, the licence ends at the end of the paid year; you keep your data and can still open your backups.
3. REPLACEMENT COMPUTER
If you replace or rebuild your computer, you may move your licence to the new computer with our approval. Send us the new computer's Machine code (Settings › Licence) and we will issue a replacement key; the old key then must no longer be used.
4. WHAT YOU MAY NOT DO
You may not resell, rent, sublicense or distribute the software, share a licence key between computers, remove or bypass licence checks, or reverse engineer it except where the law allows this despite this restriction. Open-source parts are covered by their own licences (see THIRD-PARTY-NOTICES.txt); nothing here limits your rights under those licences.
5. YOUR DATA
Your sales, products, customers and settings are stored on your computer. We do not collect them. You are responsible for keeping backups (the app can make them automatically) and for the computers, printers and accounts you use with it. If you use email receipts, messages are sent through your own email account.
6. TAXES AND RECORDS
The software helps calculate sales tax and keep records, but you are responsible for checking tax rates, filing returns, and keeping records as required by law (in Canada, generally six years).
7. PAYMENTS
Aurum Commerce records payments; it does not process card payments. Card payments are handled by your own payment terminal and provider.
8. REFUNDS
You may request a full refund within 30 days of purchase. After a refund, the licence key is cancelled and you must stop using the software.
9. SUPPORT AND UPDATES
Support and updates are included for 2 years from purchase. We expect to release updates approximately twice per year; timing and content may vary.
10. NO WARRANTY
To the extent permitted by law, the software is provided "as is", without warranties of any kind, including fitness for a particular purpose or uninterrupted, error-free operation.
11. LIMITATION OF LIABILITY
To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost data or business interruption. Our total liability for any claim is limited to the licence fees you actually paid us. Some places do not allow these limits; then they apply only as far as allowed.
12. TERMINATION
This licence ends if you break these terms. You must then stop using the software. You keep your data.
13. GOVERNING LAW
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and we agree to the exclusive jurisdiction of the courts of Ontario.
